Website Subscription Terms

These terms govern the BuilderHQ website subscription service (the "Service"). By signing up, paying, or asking us to start building, you (the "Client") agree to these terms. The Service is provided by BuilderHQ (builderhq.io).

Where you and BuilderHQ have agreed something different in writing, for example a different minimum term, plan or price recorded in your signup, quote or a written agreement we have both accepted, that written agreement applies to the extent it is inconsistent with these terms.

1. What these words mean

  • Business day means Monday to Friday, not counting public holidays in New South Wales.
  • Page means one web page with its own address on your site, containing up to six content sections. A section is a distinct block such as a hero banner, an about block, a services list, a gallery, a testimonial block, a map, or a contact block. Pages or sections beyond the number in your plan are quoted to you before we build them.
  • Revision round means one consolidated set of written change requests you send us in response to a version we have presented. Further change requests sent after you have already sent a round are counted as a new round.
  • Go live means the moment your website is published and reachable at the agreed web address.
  • Your Content means anything you give us or ask us to publish, including your logo, text, images, menus, prices, business details, reviews, and any material you supply that came from someone else.
  • Your Order means the plan, price and any minimum term you sign up for at checkout or agree with us in writing.

2. What you get

BuilderHQ designs, builds and hosts a website for your business on a monthly subscription. There is no upfront cost. Plans are:

Every plan includes:

  • Design and build of the number of pages in your plan, as defined in section 1
  • A mobile friendly layout that works on phones, tablets and desktop
  • A contact form that sends enquiries straight to your email
  • Website hosting and an SSL security certificate
  • Revisions during the initial build: Basic 2 rounds, Standard 3 rounds, Premium 3 rounds. A revision round is defined in section 1.
  • Content edits once you are live, included every month: Basic 1 hour, Standard 2 hours, Premium 3 hours

3. What is not included

  • Anything not listed in section 2 or agreed with you in writing. If you are not sure whether something is included, ask us before we start and we will tell you in writing.
  • Extra pages, extra sections and extra revision rounds beyond the number in your plan. We quote these to you before we build them.
  • Content changes beyond your included hours. Every plan includes monthly edit time once you are live (see section 2). Work beyond those hours is quoted to you before we start and billed at $150 plus GST per hour, in 15 minute increments. Unused hours do not roll over and are not refundable. We always recommend bundling your changes together rather than sending lots of small edits.
  • Your domain name (for example yourbusiness.com.au). You purchase and own your own domain. This is a separate cost paid directly to the domain provider, and it is your responsibility to keep it renewed.
  • Third party costs such as premium plugins, paid stock photography, paid fonts, or paid integrations, unless we agree them with you in writing first.
  • Photography, and copy you have not approved. We write your website copy for you using the business information and materials you provide (logo, business details, services, menu, hours, images), and you confirm and approve it before your site goes live. Photography and professional photo shoots are not included, but we can arrange them separately.

4. Approving your site and going live

  • We build your website and present it to you for review.
  • Feedback needs to be in writing, sent as one consolidated list, and it needs to identify clearly what you want changed. That is what makes up a revision round (see section 1).
  • You have 5 business days from the day we present a version to either approve it or send us your written feedback.
  • If we do not hear from you within those 5 business days, that version is treated as approved and we may take your site live.
  • Approval is not withheld for anything outside what we agreed to build in Your Order. Requests for work beyond your plan are handled under section 3, not as a reason to delay going live.
  • Once your site is live, further changes are edits and are handled under sections 2 and 3.

5. Payment and billing

  • No large upfront cost. There is no setup fee and no lump sum to get started. Your first monthly payment is taken when you sign up, and that is all that is needed for us to begin.
  • When you sign up we set up a recurring monthly subscription through our payment provider (Stripe). Payments recur monthly in advance on the same date each month.
  • All prices are in Australian dollars and are plus GST. GST is shown on your invoice.
  • Failed payments. If a monthly payment fails, we will try again and let you know. If payment remains outstanding for 7 days, we may suspend your website until the account is brought up to date. Suspension does not pause your subscription or your minimum term, and fees continue to accrue while your site is suspended.
  • Overdue amounts. We may charge interest on any amount unpaid for more than 14 days, at the Reserve Bank of Australia cash rate plus 4 percent per year, calculated daily. We may also recover the reasonable costs of collecting an unpaid amount, including debt collection fees and legal costs.
  • Disputed payments. If you dispute a payment with your bank or card provider before contacting us and giving us a reasonable chance to sort it out, and that dispute is not upheld, you agree to reimburse any fee our payment provider charges us for it. We may suspend your website while a dispute is open.
  • Price changes. We may change subscription prices with at least 30 days notice by email. A price change will not apply during your minimum term. If you do not accept a price change, you may cancel before it takes effect with no early exit fee. A change never affects a period you have already paid for.

6. Minimum term, cancellation and what happens to your site

  • Minimum term: 6 months. Your subscription runs for an initial minimum term of 6 months from the date you sign up, unless a different minimum term is recorded in Your Order.
  • Early exit fee. You may cancel at any time. If you cancel before your minimum term is complete, a one off early exit fee of $150 plus GST applies. This is a genuine estimate of the design, build and onboarding work we carry upfront and do not recover under the no upfront model.
  • If you cancel before your site goes live. We start work as soon as you sign up, so your first monthly payment is not refundable. If you cancel before your site goes live, no further payments are taken and no early exit fee applies.
  • After the minimum term your subscription continues month to month. You can cancel at any time after that with 30 days written notice, with no exit fee.
  • How to cancel. Email us at hello@builderhq.io. Cancellation takes effect at the end of your current billing month. We do not refund part months.
  • What happens when you cancel. Because this is a subscription, your website is licensed to you for as long as you subscribe (see section 7). When your subscription ends, your website is taken offline. Your domain name stays yours, and Your Content remains yours to use elsewhere. We keep a copy of your site for 30 days after cancellation so you can ask us for Your Content, after which it may be permanently deleted.
  • Coming back later. Restoring a cancelled site is treated as a new signup, at the plan prices current at that time.

7. Who owns the website

BuilderHQ owns the website design, layout, code, templates, frameworks, components, tooling and systems we use to build and run your site, including anything we reuse across clients. While your subscription is active and paid, you are granted a licence to use your website as your business site. This licence lasts only while you are subscribed. If your subscription ends, or is cancelled, or lapses for non payment, the licence ends and the site is taken offline.

You own your own content. Your Content remains yours. You also own your domain name.

Loyalty ownership. As a thank you for staying with us, after 3 years of continuous, paid subscription, or after any different lease period recorded in Your Order, we transfer to you the files that make up your website as it is then deployed, being its pages, styles, images and content. Our reusable frameworks, components and tooling are not transferred, but you receive a permanent, non exclusive licence to keep using them as part of that website. Third party items such as paid fonts, plugins or stock images are not transferred and stay subject to their own licences. From that point your subscription drops to hosting only, $25 per month plus GST, which keeps your site online and hosted with us and which may change under section 5. If you ever choose to leave after that, you take your files with you.

8. Your responsibilities

  • Send us what we need. Provide the content we need to build your site (logo, text, images, menu, hours, contact details) within 10 business days of receiving our onboarding checklist, and respond to requests for approval within 5 business days (see section 4).
  • You confirm Your Content is yours to use. You own, or have permission to use, everything you give us, and it does not breach anyone else's copyright, trademark or other rights.
  • You confirm Your Content is accurate. Information you give us about your business is true, and is not misleading or deceptive. You will not ask us to publish anything unlawful, or any review, rating, testimonial, qualification or claim about your business that is not genuine or that you cannot substantiate.
  • Keep the information on your site accurate. It is your responsibility to ask us to change anything that goes out of date, within your included edit hours.
  • Cover us for content you supplied. You indemnify us against any claim, loss, damage and reasonable cost we suffer that arises from Your Content, from your breach of these terms, or from use of your website in a way these terms do not allow.

9. Delays and inactive projects

  • Our timeframes assume you send content and approvals when we ask for them.
  • If we are waiting on you for more than 30 days, we may pause your project and treat it as inactive.
  • If content is still outstanding after 30 days, we may take your site live using the material you have given us and treat it as approved under section 4. We will tell you before we do this.
  • If we do not hear from you at all for 60 days, we may close your project. Starting again later is treated as a new signup, starting with a new first monthly payment.

10. Turnaround

We aim to have your first concept back to you within 24 to 72 hours, and your site live within 3 to 7 days. When you sign up, we email you a short onboarding checklist so you can send everything we need in one go. The sooner we have it, the sooner you are live.

These timeframes are estimates based on normal conditions. They are not guarantees or fixed dates, and time is not of the essence. They depend on you giving us your content and approvals promptly. If we are waiting on you, the timeline extends by the same amount.

11. Hosting, uptime and backups

  • Hosting is included for as long as you subscribe. We use reasonable efforts to keep your site online and available, but we do not guarantee uninterrupted or error free service. Short outages can happen for maintenance or for reasons outside our control.
  • Backups. We keep regular backups of live sites, taken at least weekly. Backups are a safety net, not a substitute for your own records. We do not guarantee that every backup will be complete or able to be restored, so please keep your own copies of Your Content.
  • Fair use. Hosting is sized for the normal traffic and storage of a small business website. If your site starts using significantly more than that, we will talk to you about a suitable plan before anything changes.
  • We may move your website between servers or providers, as long as your site keeps working.

12. Support

We provide reasonable support by email and phone for issues with your website being available or working correctly, during business hours, Monday to Friday, 9am to 5pm Sydney time, not counting public holidays in New South Wales. We aim to respond within 1 business day. That is a target, not a guarantee.

Requests to change or add content are not support. They are treated as updates and come out of your included monthly edit hours (see sections 2 and 3), with anything beyond that quoted first. A client portal for logging change requests is planned for the future.

13. No guarantee of results

We build you a professional, working website. We do not guarantee any particular business outcome, such as a number of enquiries, sales or customers, or any ranking or listing in Google, other search engines, map results, or AI answer tools. Those are controlled by third parties and depend on many factors beyond a website alone.

14. Showcasing your website

We may include your website, screenshots of it, and your business name and logo in our portfolio, case studies, website and marketing. If you would rather we did not, email us at hello@builderhq.io and we will remove it.

15. Suspension and termination by us

We may suspend or end the Service if you breach these terms, if payment remains unpaid after we have followed up, or if you use the site for anything unlawful. Where we reasonably can, we will give you notice and a chance to fix the problem first.

We may suspend immediately and without notice where there is a security risk, a legal risk, or a risk to our other clients or our infrastructure. If we end the Service because you have breached these terms, the early exit fee in section 6 still applies if you are within your minimum term.

16. Liability

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded.

Where the law allows us to limit our liability for failing to meet a consumer guarantee, our liability for services is limited, at our option, to supplying those services again or paying the cost of having them supplied again.

To the extent the law allows, our total liability to you for any claim connected with the Service is limited to the subscription fees you have paid us in the 3 months before the claim. To the extent the law allows, we are not liable for indirect or consequential loss, or for loss of profit, revenue or data, and we are not liable for Your Content or for the third party services described in section 17.

17. Third party services

Your website and our Service rely on third parties, for example your domain registrar, our payment provider Stripe, email delivery services, Google, social platforms, and any booking system or plugin connected to your site. We do not control them. We are not responsible for their outages, changes, price rises or decisions, and their own terms apply to your use of them. Where a third party service forms part of your site, we will do what we reasonably can to help, but we cannot guarantee an outcome.

18. Your privacy and data

We handle personal information in line with the Privacy Act 1988 (Cth). Enquiries submitted through your website contact form are delivered to your nominated email address, and we may briefly store them in order to deliver them and to troubleshoot delivery problems.

You are the business collecting that information. You are responsible for how you handle the personal information of people who contact you through your site, including having your own privacy policy where the law requires one.

19. Use of AI in building and managing your website

We use AI assisted tools as part of designing, building, writing content for, and managing your website and any automations we set up for you. A human reviews the work before anything goes live or is sent on your behalf. AI helps us deliver faster and keep your monthly cost low. It does not replace our judgement or your final say on your website. Material you give us, and enquiries your website handles, may be processed by these tools in order to provide the Service, always in line with our Privacy Policy. Your ownership of your finished website is exactly as set out in these terms.

20. Changes to these terms

We may update these terms from time to time. If we make a material change, we will let you know by email or a notice on our site at least 30 days before it takes effect. If a material change is not acceptable to you, you may cancel before it takes effect without paying the early exit fee. Continuing to use the Service after a change takes effect means you accept the updated terms. We will not change your subscription price except under section 5.

21. General

  • Things outside our control. We are not liable for a delay or failure caused by something outside our reasonable control, for example an internet or power outage, a failure at a third party provider, a cyber attack, a natural disaster, or a government action. We will let you know and pick things back up as soon as we can.
  • Subcontractors and tools. We may use subcontractors and third party tools, including AI tools, to deliver the Service. We remain responsible to you for the work.
  • Transferring this agreement. You may not transfer these terms to someone else without our written consent, which we will not unreasonably refuse. If you sell your business, tell us and we will usually transfer your subscription to the new owner. We may transfer these terms if our business is sold or restructured.
  • Notices. Notices to you go to the email address on your account, and notices to us go to hello@builderhq.io. An email is treated as received on the next business day after it is sent, unless it bounces.
  • If part of these terms cannot be enforced, the rest of them still apply.
  • If we do not enforce something straight away, we do not give up the right to enforce it later.
  • Whole agreement. These terms, together with Your Order and anything else we have agreed in writing, are the whole agreement between us about the Service, and they replace anything said or written beforehand.
  • What survives. Sections that are meant to keep applying after these terms end, including sections 7, 8, 16, 17 and 21, keep applying.

22. Governing law

These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction.
